Terms of service.
ALTA FINANCE OPERATIONS INC.
1. Agreement
These Terms of Service (“Terms”) govern access to and use of the website located at www.altafinops.com and Alta App, provided by Alta Finance Operations Inc. (“Alta,” “we,” “us,” or “our”). By accessing or using the website or Alta App, creating an account, connecting QuickBooks, clicking to accept these Terms, or otherwise indicating acceptance, you agree to be bound by these Terms.
2. Eligibility and Authority
You represent that you are at least 18 years old and have the authority to bind the business or organization using Alta App. If you connect a QuickBooks company, you represent that you have authority to authorize access to that company’s data.
3. Service Description
Alta App provides embedded accounting and bookkeeping functionality, including features that may read, write, sync, transform, analyze, or display authorized QuickBooks data.
4. Account Security
You are responsible for maintaining the confidentiality of your credentials, restricting access to authorized personnel within your organization, and promptly notifying us at hello@altafinops.com of any suspected unauthorized access.
5. Intuit Integration
Certain features of Alta App require authorization through Intuit’s OAuth connection. You may revoke this authorization at any time. Intuit is a third-party service provider, and your use of Intuit’s services is governed by Intuit’s own applicable terms and policies, not by these Terms.
6. Customer Data Ownership
As between you and Alta, you retain all rights in your QuickBooks data and other customer data. You grant Alta Finance Operations Inc. a limited license to access, process, store, transmit, display, and use that data only as necessary to provide and support Alta App, comply with applicable law, and enforce these Terms.
7. Acceptable Use
You may not use Alta App to violate any law, infringe on any rights, transmit malicious code, interfere with the operation of the Service, attempt unauthorized access, unlawfully scrape or harvest data, misrepresent your authorization to connect any third-party account, overload our systems, or use Alta App in a way that violates Intuit’s policies or other applicable third-party terms.
8. Fees
If Alta App is offered for a fee, pricing, payment terms, renewal terms, taxes, and cancellation rules will be described in an applicable order form. Fees are non-refundable except as required by law or expressly stated in writing.
9. Service Changes
We may modify, suspend, or discontinue features of Alta App from time to time. We will use reasonable efforts to provide notice before materially reducing core paid functionality during an active subscription term.
10. Confidentiality
Each party may receive confidential information from the other in connection with the Service. Each party will protect the other’s confidential information using reasonable care and use it only to perform under these Terms.
11. Intellectual Property
Alta Finance Operations Inc. owns Alta App and this website, including their software, interfaces, design, documentation, trademarks, and related intellectual property. No rights are granted to you except as expressly stated in these Terms.
12. Feedback
If you provide suggestions, ideas, or feedback about the Service, we may use them without restriction or compensation, provided we do not disclose your confidential data in doing so.
13. Third-Party Services
Alta App and our website may interoperate with or link to QuickBooks and other third-party services that are not owned or controlled by Alta. Alta has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party website or service. Alta shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services. We strongly advise you to review the terms and conditions and privacy policies of any third-party website or service you visit or connect.
14. Suspension
We may suspend your access to the Service if necessary to prevent a security risk, protect our systems or data, comply with law, address non-payment, or respond to a suspected violation of these Terms.
15. Termination
You may stop using the Service at any time. We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your access will end and your data will be handled according to our Privacy Policy and data retention practices. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
16. Disclaimers
Except as expressly stated in these Terms, the Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
17. Limitation of Liability
To the maximum extent permitted by law, Alta Finance Operations Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost goodwill, or loss of data. Our total liability will not exceed the amounts you paid to Alta for the Service during the six (6) months before the event giving rise to the liability.
18. Indemnification
You will defend and indemnify Alta Finance Operations Inc. against claims arising out of your data, your misuse of the Service, your violation of these Terms, your violation of law, or your unauthorized connection of a third-party account.
19. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision is held invalid or unenforceable, the remaining provisions will remain in effect. These Terms constitute the entire agreement between us regarding the Service and supersede any prior agreements regarding the Service.
20. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new Terms, please stop using the Service.
